Clay Events: Terms and Conditions

By completing your registration, purchasing a ticket or attending a Clay Event, you acknowledge that you have read, understood, and agree to these Event Terms and Conditions ("Terms"), the Event Privacy Notice attached as Exhibit A, and the Event Details Page (of applicable) for your specific event. These Terms apply to your registration for and attendance at any conference, summit, meetup, or other event hosted by Clay Labs Inc. ("Clay," "we," or "us") (each, an "Event").

1. Registration and Tickets

1.1. All ticket purchases are final at the time of checkout. You must provide accurate and complete registration information, including your name, email address, company, and title.

1.2. Tickets are for the named registrant only and may not be shared, resold, or transferred except as described in Section 3. You must present a valid, government-issued photo ID to pick up your Event badge. Badge sharing is not permitted.

1.3. Your ticket includes access to all general sessions, activities, meals, and the closing reception, unless otherwise noted. Capacity for individual sessions or activities may be limited on a first-come, first-served basis.

1.4. You represent and warrant that you have the legal authority to bind yourself to these Terms, that you are at least 18 years of age, and that any payment information you provide is accurate and that you are authorized to use the payment method.

1.5. Clay reserves the right to refuse or cancel any registration at any time, including for violation of these Terms. If Clay cancels your registration for reasons other than a violation of these Terms, you will receive a full refund of the ticket price paid.

2. Event Changes

2.1. The Event schedule, speakers, sessions, activities, venue, and other details are subject to change at any time without prior notice. Clay does not guarantee the appearance of any speaker, the availability of any session or activity, or that the Event will take place on the announced date or at the announced venue.

2.2. If Clay cancels the Event entirely, your sole remedy is a full refund of the ticket price paid to Clay. Clay is not responsible for any other costs you may incur in connection with the Event, including travel, lodging, meals, or other expenses.

3. Cancellations, Refunds, and Transfers

3.1. Cancellations and refunds. Refund requests must be submitted in writing to the email address specified on the Event Details Page or events@clay.com. The following refund schedule applies, except to the extent a different schedule is provided in the applicable Event Details Page for the applicable Event:

Timing of Request | Refund

More than 30 days before the Event: Full refund

15 to 30 days before the Event: 50% refund

Fewer than 15 days before the Event: No refund

Non-attendance does not constitute a cancellation. All refunds will be returned to the original payment method within fourteen (14) business days.

3.2. Transfers. You may transfer your registration to a colleague by emailing events@clay.com at least seven (7) days before the Event with the original registrant's name, email, company, and title, along with the same information for the new attendee. Each registration may be transferred only once. Clay reserves the right to decline any transfer request. Once a transfer is completed, it cannot be reversed.

3.3. Clay is not responsible for attendees' hotel reservations, travel arrangements, or other expenses, and these cannot be refunded under any circumstances.

4. Code of Conduct

4.1. Clay events are professional events. You agree to behave respectfully, professionally, and in compliance with all applicable laws at all times while attending the Event and any associated social events.

4.2. The following conduct is prohibited:

  • Harassment, intimidation, or discrimination of any kind, including on the basis of race, gender, gender identity, sexual orientation, disability, age, religion, or national origin
  • Disruptive, threatening, or violent behavior
  • Unwelcome physical contact or sexual attention
  • Stalking or following other attendees
  • Sustained disruption of sessions, presentations, or other Event activities
  • Any other conduct that creates an unsafe or hostile environment

4.3. If you experience or witness a violation of this Code of Conduct, please report it immediately to any Clay staff member or email events@clay.com. All reports will be handled with discretion.

4.4. Clay may, in its sole discretion, take any action it deems appropriate in response to a violation, including issuing a warning, requiring you to leave the Event without a refund, and banning you from future Clay events. Clay may also share the circumstances of a violation with law enforcement, venue personnel, sponsors, or your employer as Clay determines appropriate. You agree to cooperate with any action taken by Clay under this section.

5. Prohibited Commercial Activities

5.1. The following activities are prohibited at the Event without Clay's prior written consent:

  • Distributing marketing materials, flyers, or promotional items
  • Conducting product demonstrations or sales pitches
  • Soliciting attendees for commercial purposes
  • Operating a booth, display, or activation of any kind
  • Guerrilla marketing or ambush marketing in any form

5.2. These restrictions protect Clay's official sponsors and partners and help maintain a professional attendee experience. Violations may result in removal from the Event without a refund and a ban from future Clay events.

5.3. Clay reserves the right, in its sole discretion, to prohibit attendance or participation by representatives of directly competitive companies and to restrict any competitive commercial activity at the Event.

6. Recording, Photography, and Content Rights

6.1. Clay's recordings. Clay and its authorized contractors will photograph, video record, livestream, and otherwise capture the Event, including sessions, activities, and common areas. Your image, likeness, voice, and statements (collectively, "Image") may appear in these recordings (collectively, "Recordings").

6.2. License grant. By attending the Event, you grant Clay a worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, distribute, publicly display, publicly perform, and create derivative works from any Recordings that include your Image, in any format or media now known or later developed, for any lawful purpose, including marketing, education, and promotion of Clay and the Event.

6. Recording, Photography, and Content Rights

6.2. License grant. 6.3. Waiver. You waive any right to inspect or approve the use of any Recording containing your Image, and you release Clay from any claims related to intellectual property, publicity rights, privacy rights, or defamation arising from the use of Recordings in accordance with this section.

6.4. Attendee recordings. You may photograph and record in common areas and during sessions for personal, non-commercial use, unless a speaker or Clay staff member requests otherwise. You may not record or photograph other attendees in a manner that is intrusive or unwelcome. You are encouraged to share personal photos and clips on social media and to tag @clay.

6.5. Speaker and presentation content. All presentations, slides, demos, and other content delivered at the Event by Clay or its speakers ("Event Content") are the intellectual property of Clay or the respective speaker. You may not reproduce, distribute, or commercially exploit Event Content without prior written permission from the rights holder.

7. Intellectual Property

7.1. The Clay and Event name, logo, branding, website, Event Content, and all related materials are the property of Clay or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in Clay's intellectual property.

7.2. If you create and share content related to the Event (such as social media posts, blog entries, photos, or reviews), you retain ownership of that content but grant Clay a non-exclusive, royalty-free, worldwide license to repost, share, and reference it in connection with marketing and promotion of Clay and the Event.

8. Privacy and Data Collection

8.1. Clay collects and uses personal information in connection with the Event as described in the Event Privacy Notice attached as Exhibit A. By registering for or attending the Event, you acknowledge and agree to the data practices described in the Event Privacy Notice.

8.2. Clay's general Privacy Policy, available at privacy.clay.com/policies, applies to all personal information Clay collects, except where the Event Privacy Notice provides more specific terms, in which case the Event Privacy Notice controls with respect to Event-related data.

9. Assumption of Risk

9.1. Your attendance at the Event is voluntary. You acknowledge that in-person events carry inherent risks, including but not limited to exposure to communicable illness, personal injury, property damage or loss, and interactions with other attendees. You voluntarily assume all such risks.

9.2. You agree not to attend the Event if you know or suspect you have a communicable illness, have received a positive test or diagnosis of a communicable illness, or have had recent known exposure to a person with a communicable illness. You will comply with any health and safety protocols implemented by Clay or the Event venue.

10. Limitation of Liability

10.1. Liability cap. To the maximum extent permitted by applicable law, Clay's total aggregate liability to you for any and all claims arising out of or related to these Terms or the Event, whether in contract, tort (including negligence), or otherwise, will not exceed the total ticket price you paid for the Event.

10.2. Exclusion of damages. In no event will Clay, its affiliates, officers, directors, employees, agents, sponsors, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with the Event, regardless of the theory of liability and whether or not Clay has been advised of the possibility of such damages.

10.3. Third-party content. Clay does not endorse and is not responsible for the content, views, opinions, products, or services of any speaker, sponsor, exhibitor, or other third party at the Event. Clay will not be held liable, directly or indirectly, for any loss or damage caused in connection with any third-party content at the Event.

10.4. Exceptions. Nothing in this section limits Clay's liability for death or personal injury caused by Clay's gross negligence or willful misconduct, or for any liability that cannot be excluded or limited under applicable law.

11. Health, Safety, and Security

11.1. You will comply with all safety and security measures implemented by Clay or the Event venue, including bag checks, credential requirements, and any health screening protocols.

11.2. The following items are prohibited at the Event: weapons of any kind, explosives, illegal substances, and any other items that pose a safety risk as determined by Clay or venue security.

11.3. No persons under 18 years of age may attend the Event unless specifically authorized by Clay in writing.

11.4. Clay reserves the right to limit the number of attendees, to bar any person from all or any part of the Event, and to refuse to provide access to Event materials, in each case without prior notice.

12. Network and Wi-Fi Use

12.1. If Clay or the Event venue provides internet access, you agree to use it responsibly and in compliance with applicable law. You will not:

  • Attempt unauthorized access to any systems or networks
  • Distribute malicious or harmful software
  • Conduct surveillance, recording, or tracking of other network users
  • Reverse-engineer any security features of the network
  • Access, upload, or share illegal content

12.2. Clay reserves the right to monitor network activity and to restrict or terminate your access at any time without notice.

13. Affiliated Services

13.1. In connection with the Event, Clay may provide information about accommodations, transportation, dining, or other services offered by third parties. These are provided for your convenience only. Clay is not responsible for any issues or disputes between you and any third-party service provider, including hotels. You are responsible for complying with any third party's cancellation policies, and Clay will not reimburse you for third-party expenses under any circumstances.

14. General Provisions

14.1. Entire agreement. These Terms, together with the Event Privacy Notice (Exhibit A) and Clay's Privacy Policy, constitute the entire agreement between you and Clay regarding your attendance at the Event and supersede any prior or contemporaneous agreements on the subject.

14.2. Modifications. Clay may update these Terms at any time by posting or linking to the revised version on the Event website. The version in effect at the time of the Event will govern. 

14.3. Governing law and jurisdiction. These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Any disputes arising under or in connection with these Terms will be resolved exclusively in the state or federal courts located in New York County, New York.

14.4. Severability. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.

14.5. No waiver. Clay's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

14.6. Survival. Sections 6 (Recording, Photography, and Content Rights), 7 (Intellectual Property), 9 (Assumption of Risk), 10 (Limitation of Liability), and 14 (General Provisions) survive the expiration or termination of these Terms.

14.7. Event Details Page. Each Event may have a corresponding Event Details Page that sets forth event-specific information, including the event date, venue, refund deadlines, transfer deadlines, and contact information. The Event Details Page for your Event is incorporated into these Terms by reference. Clay may update the Event Details Page from time to time, and it is your responsibility to review the Event Details Page for the most current information. In the event of a conflict between these Terms and the Event Details Page, these Terms control except with respect to event-specific dates, deadlines, and logistics, which are governed by the Event Details Page.

14.8. International attendees. If you reside outside the United States and attend an Event, nothing in these Terms is intended to exclude or limit any mandatory consumer protection rights that apply under the laws of your country of residence to the extent such rights cannot be waived or limited by contract. All other provisions of these Terms remain in full force and effect.

Exhibit A: Clay Event Privacy Notice

This Event Privacy Notice ("Notice") describes how Clay Labs Inc. ("Clay," "we," or "us") collects, uses, and shares personal information in connection with conferences, summits, meetups, and other events hosted by Clay (each, an "Event"). This Notice supplements Clay's general Privacy Policy, available at privacy.clay.com/policies. Where this Notice addresses a topic specific to the Event, it controls; for all other matters, the general Privacy Policy applies.

1. Information We Collect

We collect personal information from and about Event attendees in the following ways:

Registration information. When you register for the Event, we collect your name, email address, company name, job title, and payment information. We may also collect dietary preferences, accessibility needs, or other information you choose to provide.

Badge and attendance data. Your Event badge may contain RFID, NFC, or QR code technology. We may use this technology to facilitate check-in, record your attendance at the Event, and track attendance at individual sessions or activities.

Photos, video, and audio. Clay and its authorized contractors will photograph, video record, and livestream portions of the Event. Your image, likeness, voice, and statements may be captured in these recordings.

Network usage data. If you use Wi-Fi or other internet services provided at the Event, we may collect device identifiers, network activity logs, and usage data. Clay reserves the right to monitor network activity for security and operational purposes.

Communications. If you contact us about the Event (for example, by emailing sculpt@clay.com), we collect the contents of your messages and any information you provide.

Event website data. When you visit any Event-related website hosted by Clay, we collect information through cookies and similar technologies as described in our general Privacy Policy.

2. How We Use Your Information

We use the information described above for the following purposes:

  • Administering the Event, including registration, check-in, and badge issuance
  • Communicating with you about Event logistics, schedule changes, and updates
  • Recording and distributing Event content (sessions, keynotes, and other programming)
  • Improving the Event experience, including analyzing attendance patterns and session popularity
  • Marketing and promoting Clay and future Events
  • Ensuring the safety and security of attendees, staff, and the venue
  • Complying with applicable legal obligations

3. How We Share Your Information

Sponsors and partners. During registration, you may be given the option to share your registration information (name, email, company, and title) with Event sponsors and partners. If you opt in, your information will be shared with the sponsors and partners identified at the time of registration. Additionally, if you allow your badge to be scanned at a sponsor booth or partner activation, the sponsor or partner operating the scanner will receive your registration information. Clay is not responsible for how sponsors or partners use your information after they receive it.

Event service providers. We share information with vendors and service providers who help us plan, host, and administer the Event, including event production companies, registration platform providers, and catering services. These providers are contractually required to use your information only for the purposes of providing services to Clay in connection with the Event.

Marketing communications. By registering for the Event, you consent to receiving communications from Clay about Clay products, services, and future events, to the extent permitted by applicable law. You may opt out at any time by clicking the unsubscribe link in any such communication or by contacting privacy@clay.com.

Other disclosures. We may also share your information as described in our general Privacy Policy, including as required by law, in connection with a corporate transaction, or with your consent.

4. Recordings and Your Image

As described in Section 6 of the Event Terms and Conditions, Clay will record portions of the Event, and your Image may appear in Recordings. Recordings may be made publicly available (for example, on Clay's YouTube channel or website) and may be used for marketing and promotional purposes. Once Recordings are made publicly available, Clay cannot control third-party use or distribution of those Recordings.

5. Your Privacy Rights

You have the privacy rights described in Clay's general Privacy Policy, including rights under the California Consumer Privacy Act (CCPA) and the EU/UK General Data Protection Regulation (GDPR), as applicable based on your jurisdiction of residence. These rights may include the right to access, correct, delete, or port your personal information, and the right to opt out of the sale or sharing of your personal information.

To exercise any privacy right, contact privacy@clay.com. You may also submit a request through Clay's Privacy Center at privacy.clay.com/policies.

6. Data Retention

We retain Event-related personal information for as long as reasonably necessary to fulfill the purposes described in this Notice, including to administer the Event, market future events, and comply with legal obligations. Recordings may be retained indefinitely. For more detail on our retention practices, see our general Privacy Policy.
